What You’ll Do

  • Lead the review, drafting, and negotiation of commercial leases, subleases, amendments, and related real estate agreements.
  • Partner with company leadership, our real estate broker, outside counsel, and project-management teams to move transactions forward efficiently.
  • Provide clear, regular updates to stakeholders on active negotiations, key decisions, risks, and timing.
  • Identify and mitigate legal and business risks associated with real estate transactions, escalating significant matters to the General Counsel as appropriate.
  • Oversee critical lease dates and obligations, including renewals, options, expirations, rent escalations, and other portfolio milestones.
  • Support lease-portfolio optimization, risk management, clinical-office build-outs, and compliance considerations, including ADA requirements.
  • Maintain and improve lease templates, negotiation playbooks, legal workflows, and portfolio-management practices.
  • Use lease-management, contract-management, document-automation, and AI tools to improve accuracy, visibility, and efficiency.

What You’ll Bring

  • Juris Doctor degree from an accredited law school and active membership in good standing with the New York State Bar.
  • 3-5 years of legal experience drafting and negotiating commercial real estate leases and related agreements.
  • Strong drafting, negotiation, communication, analytical, and problem-solving skills.
  • Excellent attention to detail and the ability to identify practical solutions while protecting the organization from risk.
  • Ability to work independently, manage multiple active matters, and collaborate effectively with legal and business partners in a remote environment.

Nice to Have

The Manager, Regulatory Affairs Submission Management, manages high impact, complex submission

projects involving multiple cross-functional regulatory submission teams. With input from the submission

teams, this individual establishes and maintains submission content planners and associated timelines,

facilitates tactical submission team meetings, prepares content planners for publishing, interfaces with

publishing vendor, and fulfills Submission Management functions on Project Teams in support of

Development, Marketing, and post-marketing regulatory authority applications. The Manager is recognized

as a discipline expert and resource in regulatory affairs submission management.

Responsibilities:

  • Independently manages high impact (with respect to internal visibility, risk, complexity and criticality)submission projects to ensure the timely delivery of high-quality dossiers that meet technical specifications defined by regulatory authorities and can be easily navigated and reviewed by a regulatory agency.
  • Acts as primary RA Submissions interface with project teams providing guidance and communication of established submission processes, standards and technical specifications. Plans and negotiates submission project scope, publishing timelines and deliverables.
  • Plans and conducts submission team meetings. Expedites, manages, and coordinates multiple concurrent interrelated activities for submission projects and/or for multiple products in the delivery of complex published submissions within the required timelines. Anticipates obstacles and develop solutions within the team.

Qualifications

  • Required Experience: 6 years’ pharmaceutical or industry related experience with publishing related software tools e.g. Documentum, eCTDXPress/ISIPublisher, ISI Toolbox/DocuBridge/Insight platform, Adobe Acrobat. One to two years in cross functional project management.
  • Preferred Experience:
    • Experience in Regulatory Affairs preferred but may consider QA, R&D/support, Scientific affairs, operations or related area

About the Role

We are looking for a motivated, collaborative, and business-minded Procurement Counsel to join our Legal Team. The Procurement Counsel will report to Sr. Corporate Counsel, and will  have the strategic ability to oversee and negotiate key deals and relationships and act as a trusted business partner for the organization. The ideal candidate will have experience working in-house for global businesses, executing and negotiating commercial transactions and contracts, building processes, and executing efficiently on a day-to-day basis. You will primarily focus on supporting procurement and vendor negotiation and onboarding, partnering closely with internal teams such as marketing, engineering, and finance to align contracts with business needs. You will frequently interact with internal stakeholders and external parties, creating relationships based on trust while helping Mixpanel navigate the business environment, challenges, and objectives.

Responsibilities:

  • Strategically partner with internal business stakeholders to draft, review, and negotiate a wide range of commercial agreements including vendor agreements for software, professional services, corporate services, equipment, data licenses, NDAs, independent contractor engagements, and event sponsorships to ensure that Mixpanel, its customers, personnel, and partners are protected.
  • Evaluate risk factors impacting business decisions and anticipate unique legal issues that could affect the company, providing timely and practical legal advice on agreement structure, approval processes, and company policies.
  • Assess and advise on risks associated with vendors' use of artificial intelligence (AI), including evaluating AI-related contractual provisions, model training, and data usage rights, output ownership, indemnification implications, accuracy and liability disclaimers, and compliance with applicable AI regulations.
  • Collaborate with cross-functional stakeholders, including Marketing, Finance, Engineering, Procurement and People Operations, Privacy, and Security, to develop processes and enforce applicable policies as they relate to global commercial contracting.
  • Supplement and create processes, templates, and playbooks and support the deployment of software and systems for efficient and scalable contracting to better serve business needs.
  • Enable and train internal stakeholders by providing direct guidance on processes, structure, and commonly requested revisions, non-standard terms, and respond to general process questions timely and accurately.
  • Stay informed of emerging laws, regulations, and judicial decisions relevant to our business; conduct thorough research to understand the implications of these developments, and communicate or make necessary changes to controls, policies, and procedures to appropriate parties.
  • Ability to prioritize and triage high volume of requests balancing risk, criticality, and resource constraints. 
  • Manage escalations and collaborate across other teams to provide counsel regarding the business environment and objectives.
  • Support and manage a variety of ad hoc projects with the Legal team as they arise; be extremely versatile, highly responsive, and pitch in for anything needed in the Legal department, even if it’s unfamiliar or not in your lane.

We’re Looking For Someone Who:

  • JD degree or equivalent degree from an accredited school, along with the necessary professional licensing to practice law
  • 1-3 years of relevant experience, with specific experience negotiating SaaS agreements.
  • Direct experience with a variety of legal matters, including strategic business agreements, information security and compliance, intellectual property rights, and privacy related matters including negotiating data protection agreements and advising on data privacy questions and concerns.
  • Familiarity with legal and commercial issues arising from AI and machine learning technologies, including experience reviewing and negotiating AI-related contract terms such as data usage rights, model training limitations, and liability allocation for AI outputs.
  • Strong negotiating skills with both legal and commercial issues, and a demonstrated ability to create legal, defensive, or proactive strategies.
  • Excellent knowledge and understanding of contract law and basic corporate law.

The Legal, Compliance, and Corporate Affairs (LCCA) team is seeking an Assistant General Counsel to lead key corporate governance and transactional matters and provide practical advice, guidance, and oversight on labor & employment and litigation matters in a fast-paced, high-energy environment. This is a fiduciary role that supports GHX’s compliance with relevant laws and regulations. The Assistant General Counsel will monitor and advise on trends in business performance, evolving regulatory requirements, and best practices for governance and disclosure. The individual in this role will work closely with senior leadership and key leaders in the LCCA to manage corporate governance and entity matters; draft, negotiate, and maintain corporate documents and agreements; oversee labor & employment and litigation matters and outside counsel as appropriate; identify and resolve legal issues; and develop efficient legal processes, all while balancing legal and business needs and risks. The ideal candidate is a versatile in-house leader who is open to working across a wide array of legal matters. The Assistant General Counsel will have the opportunity to work as a corporate generalist, assume meaningful responsibility for key legal matters, and build on an array of critical corporate legal department skills.

Principal Duties and Responsibilities:

  • Reporting directly to the General Counsel & Corporate Secretary, you will serve as a trusted adviser on a range of corporate legal matters, including corporate governance.
  • Lead and support corporate governance matters, including preparation and organization of materials for Board and Committee meetings, maintenance of corporate records, entity management for GHX’s North American and India entities, corporate disclosure materials, and related regulatory matters.
  • Manage the preparation, review, and maintenance of corporate records, organizational documents, approvals, resolutions, subsidiary records, and other governance materials.
  • Advise on the Company’s corporate financing matters, debt-related reporting obligations, transaction documentation, and related corporate approvals.
  • Support and, as appropriate, lead corporate transactions, including mergers and acquisitions, financings, liquidity events, and other strategic transactions, from structuring and due diligence through execution and post-closing integration.
  • Lead and support complex commercial transactions with strategic partners and other key counterparties, including structuring, negotiation, drafting, execution, and ongoing relationship management.
  • Support the management of ESG-related legal and disclosure matters and assist the team in the continued development of GHX’s ESG program.
  • Draft, negotiate and interpret non-disclosure agreements (NDAs), letters of intent (LOIs), and other corporate agreements.
  • Support subsidiary management of corporate affiliates.
  • Provide practical advice and guidance on labor & employment and litigation matters, manage internal legal workstreams, and oversee outside counsel as appropriate.
  • Manage GHX’s insurance portfolio, including coordination of renewals, coverage analysis, claims support, and engagement with brokers, insurers, and internal stakeholders.
  • Coordinate with outside counsel as needed across corporate, transactional, labor & employment, litigation, and other legal matters.
  • Support the General Counsel & Corporate Secretary on other corporate matters as needed, including risk management, corporate development, and other strategic initiatives.
  • Provide legal support for ad-hoc projects coming from various departments, including Treasury and Accounting.
  • Willingness to travel quarterly (up to 20% annually).

Required Qualifications:

  • J.D. required.
  • Admission to, and in good standing in, any state bar in the United States.
  • At least 7 years of legal experience, including substantial experience in corporate governance and corporate transactions. Experience in a law firm, in-house legal department, or both is preferred.
  • Excellent analytical, interpersonal, and presentation skills.
  • Ability to communicate effectively in writing and in person to all levels of the business, including senior management.
  • Ability to be nimble and adaptable to a variety of legal questions and concerns.
  • A high-integrity, low-ego team player who takes a collaborative approach to problem solving, enjoys working as part of a close-knit team, and takes ownership of matters with appropriate autonomy.
  • Hard working, well organized, self-motivated, and able to work independently.
  • Ability to manage and prioritize requests and oversee and improve complex business and legal processes under time pressures and deadlines in a fast-paced environment.
  • Excellent academic credentials.

Preferred Qualifications:

  • Experience working in or advising private equity-backed companies is preferred.
  • Prior in-house, corporate legal department experience.
  • Experience supporting or leading mergers and acquisitions, financings, and other strategic corporate transactions, including transaction structuring, due diligence, documentation, execution, and integration.
  • Experience advising on labor & employment matters and overseeing litigation, including management of outside counsel, is preferred.
  • Exposure to intellectual property, marketing and advertising, or related technology matters is a plus.
  • Experience with technology transactions, SaaS businesses, or delivery of SaaS products is a plus.
  • Executive compensation experience.

Estimated salary range: $150,000 - $214,000

The base salary range represents the anticipated low and high end of the GHX’s salary range for this position. Actual salaries will vary and will be based on various factors, such as candidate’s qualifications, skills, competencies and proficiency for the role. The base salary is one component of GHX’s total compensation package for employees.
